Terms & Conditions
Last updated: 23 October 2026
These Terms & Conditions (“Terms”) govern access to and use of Humanalyse, an AI-powered Training Needs Assessment (TNA) platform, and the website humanalyse.com (together, the “Service”), provided by Humanalyse (“we”, “our”, “us”). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms for it.
If your organisation has signed an order form, proposal or services agreement with us, that agreement takes priority over these Terms where the two differ.
1. Definitions
- Client: the organisation that subscribes to or licenses the Service.
- Authorised Users: people the Client allows to use the Service as administrators, for example HR or L&D staff.
- Participants: employees or candidates whom the Client invites to take an AI interview.
- Client Data: data the Client or its Participants provide to the Service, including competency frameworks, role definitions, employee details, interview recordings and transcripts.
- Outputs: assessment results generated by the Service, including scores, proficiency levels, gaps, readiness ratings, summaries, evidence and reports.
2. The Service
Humanalyse lets a Client:
- define competencies and the expected proficiency level for each role;
- run TNA cycles in which an AI interviewer holds voice and video conversations with Participants;
- receive Individual and Cycle TNA reports that identify training needs;
- link those needs to trainings.
The Service is offered as a hosted software-as-a-service (SaaS) platform, or as an on-premise or private-cloud deployment under a separate licence. We may improve, change or retire features over time. We will not materially reduce the core functions of a paid subscription during its term.
3. Accounts and access
- The Client is responsible for its Authorised Users and for all activity under their accounts.
- Keep sign-in details confidential and tell us promptly at info@humanalyse.com if you suspect unauthorised access.
- Participants access the Service only through the interview link sent to them, and may use it only to take their own interview.
4. Client responsibilities
The Client agrees to:
- Inform Participants and have a lawful basis: tell Participants, before their interview, that it will be recorded, transcribed and analysed by AI, and how the results will be used. The Client must also have a lawful basis, and obtain consent where the law requires it.
- Provide accurate setup data: make sure the competency frameworks, role expectations and employee data it provides are accurate and lawful to share with us.
- Use Outputs responsibly: treat them as decision support, apply human review, and not use them as the sole basis for decisions with legal or similarly significant effects on individuals where the law requires human involvement.
- Not discriminate: not use the Service to discriminate unlawfully against anyone, or to assess characteristics unrelated to the competencies being evaluated.
- Not invite minors: not invite anyone under 18 to take an interview.
- Comply with the law: follow applicable employment, data protection and privacy laws in its jurisdiction.
5. Acceptable use
You must not:
- record or assess anyone without their knowledge;
- impersonate a Participant or let someone else take an interview on a Participant’s behalf;
- attempt to manipulate, reverse engineer, copy, scrape or extract the Service, its prompts or its models;
- probe, scan or test the Service’s security without our written permission;
- upload malicious code, or overload or disrupt the Service;
- resell, sublicense or provide the Service to third parties except as agreed with us;
- use the Service for any unlawful, harmful or abusive purpose.
6. AI-generated Outputs
Outputs are produced by AI models from what a Participant says during the interview, measured against the Client’s framework. They are designed to help L&D and HR plan development. They are not professional, legal, psychological or employment advice.
AI can make mistakes. Outputs may be incomplete or inaccurate, for example when a Participant gives short answers, audio quality is poor, or a competency is not discussed. The Service marks undiscussed competencies as “not explored” and links scores to transcript evidence so that people can review them.
The Client remains responsible for decisions it makes using Outputs.
7. Credits, fees and payment
- Credits: SaaS use is charged by credits, consumed per AI interview, or as otherwise set out in the Client’s order form or proposal.
- On-premise: fees for on-premise deployments, support and upgrades are set out in the applicable agreement.
- Invoices: fees are payable as invoiced, exclusive of applicable taxes.
- Refunds: unless agreed otherwise, fees and purchased credits are non-refundable. Unused credits expire at the end of the agreed term.
- Late payment: we may suspend access if payment is overdue after reasonable notice.
8. On-premise deployments
For on-premise or private-cloud deployments:
- We grant the Client a non-exclusive, non-transferable licence to install and use the platform within its own environment, for the agreed scope and term.
- The Client is responsible for its infrastructure, including servers, storage, network, backups, access control and any AI model endpoint it connects. We provide installation support, updates and support as set out in the agreement.
- The Client must not modify the software or deploy it beyond the licensed scope.
9. Data protection and confidentiality
- Your data: the Client owns Client Data. We process it only to provide and support the Service and on the Client’s instructions, as described in our Privacy Policy. On request, we will sign a data processing agreement.
- No training on your data: we do not use Client interview recordings or transcripts to train AI models without the Client’s written agreement.
- Confidentiality: each party will keep the other’s confidential information confidential, and use it only for the purposes of the relationship.
10. Intellectual property
- Our platform: we own the Service, including its software, AI interview design, scoring methods, built-in competency library and branding. No rights are granted except as stated in these Terms.
- Your Outputs: the Client owns its Client Data and may use the Outputs and reports for its internal purposes.
- Feedback: if you send us feedback or suggestions, we may use them without obligation to you.
11. Availability and support
We aim to keep the Service available and performant, but we do not guarantee uninterrupted or error-free operation unless a service level is agreed in writing. We may carry out planned maintenance and will try to give advance notice. Support is provided by email at info@humanalyse.com, or as set out in the Client’s agreement.
12. Suspension and termination
- We may suspend or end access if these Terms are seriously breached, if the Service is misused, or if needed to protect the Service or other users. We will give notice where reasonably possible.
- Either party may end a subscription as set out in the Client’s agreement.
- After termination, the Client may request an export of its reports within 30 days. After that, Client Data is deleted from our systems in line with our Privacy Policy, except where we must keep it by law.
13. Disclaimers and limitation of liability
- To the extent permitted by law, the Service is provided “as is” and “as available”, without warranties of fitness for a particular purpose or that Outputs will be accurate or complete.
- To the extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue or data.
- Our total liability arising from the Service is limited to the fees the Client paid us in the 12 months before the claim.
- Nothing in these Terms limits liability that cannot be limited by law.
14. Indemnity
The Client agrees to indemnify us against claims arising from its unlawful use of the Service, from its failure to inform Participants or obtain required consents, or from employment decisions it makes using the Outputs.
15. Changes to these Terms
We may update these Terms from time to time. We will post the new version here with a new “Last updated” date, and notify Clients of material changes. Continued use of the Service after changes take effect means you accept the updated Terms.
16. Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates. The parties will first try to resolve any dispute in good faith. Disputes that cannot be resolved this way will be settled by arbitration or by the competent courts of the United Arab Emirates.
